作者在第三、四章通過對國有企業的特殊地位、功能和作用以及國有企業改革的目標分析，結合國有投資公司在我國發展的實際情況，參照國際慣例，指出必須從立法角度對國有投資公司做出明確定位。本文認為必須明確國有投資公司的性質是不以營利為目的的政策性投資機構，是特殊的企業法人，其資本金應由政府財政撥付，並採用市場化方式進行資本運作，以實現長期性、國防性、戰略性、國家安全性和社會公益性等社會目標為主要責任。
