本文首先建立了契約經濟學的分析框架，介紹了契約經濟學的基本內涵，對于企業尤其是企業集團以及制度，作為一種契約的合成，對其存在提出了合理的解釋，並闡明了契約在金融領域的意蘊；接著以契約經濟學的框架從美國金融業制度重組、金融中介的結構重組及金融控股公司的業務重組三方面出發，對美國金融控股公司的產生及發展進行評述；進而以美林證券控股集團和花旗集團為典型，進一步分析美國金融控股公司組織結構的特徵及業務重組的實踐；最後從我國現實出發，提出發展我國金融控股公司的基本思路。
