筆者通過本人主持寶雞石油鋼管廠與日本住友集團合資項目四年的實踐，從我國國有企業的實際出發，結合寶雞石油鋼管廠吸引外資、資產重組的範例，從理論及合資工作的實踐上探索了當前國有企業在不增加國家新的增量投入的情況下，通過資產重組，吸引外資，改善企業內部經濟結構、產品結構和管理水平，增強企業競爭力，提高經濟效益的對策和方法。
