The company hereby agrees to pay any and all expenses reasonably incurred by indemnitee in defending any claim or claims, as the same are incurred and in advance of the final disposition of any such claim or claims, upon receipt of an undertaking by or on behalf of indemnitee to reimburse such amounts if it shall be ultimately determined that indemnitee is not entitled to be indemnified
公司同意，在收到受償人或其代表所作出的如果最終判定受償人無權得到賠償則如數退還該款項（指後面的公司支付的費用）的承諾時，公司即支付受償人對任何索賠進行辯護所產生的任何和所有合理費用。
