  3. Such written consent shall be filed with the minutes of the board of directors proceedings and shall have the same force and effect as a unanimous vote of the directors present at a meeting of the board

If within half an hour from the time appointed for the meeting a quorum is not present, the meeting, if convened upon the requisition of members, shall be dissolved, in any other case it shall stand adjourned to the same day in the next week at the same time and place, and if at the adjourned meeting a quorum is not present all members present who are entitled to vote thereat shall be a quorum

  5. Decisions on other items shall be made by a simple majority vote of the directors present at the meeting
