    本文第一部分對企業合併反壟斷的基礎理論的若干概念行明晰並闡述筆者對這些概念的理解;第部分對西方發達國家立法和實踐行比較,得出企業合併反壟斷法的立法依據,即: 1 、企業合併反壟斷必須要符合本國的實際情況, 2 、企業合併的立法較之傳統的法律(如民法、刑法,憲法等)與當時社會經濟發展水平和時代的變遷有著更為緊密的聯系, 3 、企業合併反壟斷和立法應當注重經濟分析的方法;第三部分提出了競爭侵權這一理論,並認為競爭侵權是企業合併反壟斷的實質:即是為了防止競爭侵權的發生,才需要企業合併的反壟斷;第四部分是在企業合併反壟斷立法依據和實質理論的指導下,並結合我國的實際情況對企業合併反壟斷的認定標準行分析。

    其次,對國有企業管理培訓提出了九大改建議:一、提高對管理培訓的理性認識,系統地行國有企業人力資源開發機的建設;、努力構建企業培訓工作新機,建立健全企業培訓度,保證企業培訓步入化、完善化通道;三、用系統觀考察、指導管理培訓的改革,使企業管理培訓具備整體性、層次性、協調性及動態性;四、培訓內容要更新,培訓方法要改革,培訓形式要靈巧,把提高培訓質量作為培訓工作的核心和生命力所在;五、加強培訓控,建立嚴格的培訓評估體系,培育培訓成果轉化的工作環境;六、強化國有企業管理培訓風險的避措施,樹立受訓人員的確培訓觀念,建立相互忠誠的培訓模式;七、發揮政府職能,加強對培訓的宏觀管理和協調指導,運用法律手段和政策支持引導管理培訓的發展;八、合理配置企業培訓資源,加快企業培訓自主化、社會化、市場化;九、注重研究和利用wto則,樹立與國際接軌意識,加強企業引智工作,拓展國際合作培訓。
