    筆者認為這種必要性體現在如下幾方面:防止外資銀行對我國金融業的損害和控制,保護國內銀行免遭外資銀行不正當競爭損害,避免和減少外資銀行自身的風險,保護銀行客戶的合法權益,防止擾亂國內金融秩序等。接著介紹了我國現行我國外資銀行監管立法,闡述了新頒布的《外資金融機構管理條例》對舊《條例》的修改內容,既指出了新《條例》進步的一面,同時也深入地剖析了新《條例》關于外資銀行監管立法仍然存在的不足和缺陷。

    本文通過對檢察權的產生和發展歷史的綜合考察,分析比較了中西現代檢察權與古代檢察的變化與發展,梳理評析了中西已有的檢察權基本理論;從檢察權產生的理論基礎、權力的歸屬、行為特徵、權能組合的異質同構、權力的位階、檢察權功能的現代轉型等視角,剖析了現代檢察權的個性特徵;通過比較分析檢察權與法律監督權在性質、權力功能配置和實現方式等方面的差異,指出了中國檢察權定位為法律監督屬性的歷史局限性;結合現代檢察權的發展規律以及中國的國情,論證了在中國憲政語境中檢察權兼容法律監督權的合理性和正當性理由,提出了在相對合理主義下重新定位和解構中國檢察權的基本思路;深入分析了檢察權獨立行使的合理性和正當性;在比較分析中西檢察權獨立構成要素的基礎上,檢討了中國檢察權獨立的根本缺失在於精神要素、社會獨立主體和內部獨立操作規則的缺失,並提出了改革完善的基本思路。

    因此,規制壟斷一直是發達國家對企業並購實施監管的核心。由於跨國並購可能造成外資控制東道國市場進而威脅其國家的經濟安全;跨國公司進行的反競爭並購所形成的壟斷還會制約東道國幼稚產業的發展,影響其民族工業的獨立性,因此規制跨國並購中外資的壟斷對東道國尤其重要。本文從跨國公司實施企業集中所引發的限制競爭與壟斷問題及國際卡特爾問題入手,研究入世后我國外資並購過程中存在的反壟斷問題,並從法律角度提出相關對策與建議。
